The User or Deejay Led dealer.- The person who is using www.DeejayLed.com, and is actively authorized to resell Deejay Led merchandise. i.e. you.

YOU MAY NOT MODIFY, COPY, REPRODUCE, REPUBLISH, UPLOAD, POST, TRANSMIT, OR DISTRIBUTE, IN ANY MANNER, THE MATERIAL ON THE SITE, INCLUDING TEXT, GRAPHICS, CODE AND/OR SOFTWARE..  You agree that you shall have no recourse against www.DeejayLed.com for any alleged or actual infringement or misappropriation of any proprietary right in your communications to Deejay Led If you use any of the Deejay Led content on your website, you must be a current dealer of Deejay Led in good standing and authorized to do so. Questions on authorization may be obtained from your sales representative or the Deejay Led support dept. Thuderball makes available electronic information lists which may be used on your own website. Deejay Led makes no warranty about this information as to performance or merchantability, or any other warranties, whether expressed or implied. Information is scrupulously reviewed and errors are corrected expediently as soon as we are aware of them. Dealers agree to remove all information, FROM THEIR OWN WEBSITES, obtained from Deejay Led once they cease doing business with us or ONCE ASKED TO DO SO AT ANY TIME FOR ANY REASON.

3. TRADEMARKS. 
Publications, products, content or services referenced herein or on the Site are the exclusive trademarks or servicemarks of www.DeejayLed.com. Other product and company names mentioned in the Site may be the trademarks of their respective owner

4. PERMITTED USAGE
The User may use the Content for producing their own business, provided the websites belong to the User, and that the User does not imply that they created the Content or that they claim any ownership of copyright over the Content and that the User is either currently a Deejay Led dealer or employed to make a site by a Deejay Led dealer with the full knowledge of the Deejay Led support dept.. The Content may not be used to produce material that is obscene, racist, pornographic or otherwise of an adult nature. The User may modify and use the Content for their business use while currently a Deejay Led Dealer Only. The User may not use the Content to produce derivative work for a third party.

5. REDISTRIBUTION OF CONTENT
Redistributing the Content, or any portion thereof, in any form, under any name, on its own or with other products (commercial or otherwise), without the prior written permission of Deejay Led is forbidden. The User may not redistribute any part of the Content on another website, on a CD-ROM, or on any other form of media without the prior written permission of Deejay Led The User may not sell, rent, or lease the Content to any individual or organization. The User may not use any of the Content to design or produce websites or any other derivative work for a third party, whether for free or for profit unless given approval by Deejay Led. No materials from the site can be resold. No Deejay Led content can be made part of a portfolio. All images are the property of Deejay Led or it's suppliers and any unauthorized use is strictly prohibited.

6. LIABILITY
the site are provided "as is" and without any warranties as to performance or merchantability, or any other warranties, whether expressed or implied. The User accepts the Websites "with all faults". IN NO EVENT WILL Deejay Led BE LIABLE FOR (I) ANY INCIDENTAL, CONSEQUENTIAL, OR INDIRECT DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE LIKE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE SERVICE, OR ANY INFORMATION, OR TRANSACTIONS PROVIDED ON THE SERVICE, OR DOWNLOADED FROM THE SERVICE, OR ANY DELAY OF SUCH INFORMATION OR SERVICE. EVEN IF Deejay Led  OR ITS AUTHORIZED REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR (II) ANY CLAIM ATTRIBUTABLE TO ERRORS, OMISSIONS, OR OTHER INACCURACIES IN THE SERVICE AND/OR MATERIALS OR INFORMATION DOWNLOADED THROUGH THE SERVICE. BECAUSE SOME STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. 7. INTERPRETATION
This Agreement shall be governed by the laws of New Jersey which shall claim venue and jurisdiction for any legal motion or claim arising from this Agreement. This Agreement is void where prohibited by law.
Where one or more terms of this contract are held to be void or unenforceable for whatever reason, any other terms of the contract not so held will remain valid and enforceable at law.

9. INDEMNIFICATION

10. THIRD PARTY RIGHTS
The provisions of paragraphs 8 (Use of the Site), and 9 (Indemnification) are for the benefit of Deejay Led  and its officers, directors, employees, agents, licensors, suppliers, and any third party information providers to the Service. Each of these individuals or entities shall have the right to assert and enforce those provisions directly against you on its own behalf. 

11. MISCELLANEOUS 
This Agreement shall all be governed and construed in accordance with the laws of The United States of America applicable to agreements made and to be performed in The United States of America. You agree that any legal action or proceeding between Deejay Led  and you for any purpose concerning this Agreement or the parties' obligations hereunder shall be brought exclusively in a federal or state court of competent jurisdiction sitting in The United States of America . Neither the course of conduct between the parties nor trade practice shall act to modify any provision of this Agreement. Deejay Led  may assign its rights and duties under this Agreement to any party at any time without notice to you.

Any rights not expressly granted herein are reserved.
